Terms and Conditions
1. Force Majeure
Force majeure of this agreement means unforeseeable, unavoidable,
uncontrollable and insurmountable accidents (such as wars, car accidents, etc.),
natural disasters, (such as earthquakes, fires, floods, etc.) strike, the change of
government administrative policy, legal changes, etc., so the parties cannot
perform their duties in accordance with the agreement by the parties or cannot
perform their duties as scheduled, the party suffering from force majeure can be
exempted from duties or delay to perform the duties of responsibility.
2. Dispute Resolution
During the term of this Agreement, neither Party A nor Party B shall unilaterally
amend or terminate this Agreement without the prior written consent of the
other party. In the event that either party breaches any provision of this
Agreement and fails to cure such breach within five (5) business days of receipt
of written notice thereof, the non-breaching party shall have the right to
terminate this Agreement upon providing ten (10) business days’ prior written
notice. This Agreement shall be deemed terminated upon mutual written
confirmation by both parties and the completion of all necessary handover
procedures.
In the event of a breach by Party B, Party B shall, upon receipt of written notice
from Party A, immediately cease all activities involving access to Party A’s
marketing information and the continuation of any PR-related work, and shall
return any portion of fees prepaid by Party A following the occurrence of the
breach.
In the event of a breach by Party A, Party B shall, at its sole discretion and based
on the circumstances, reserve the right to determine whether any fees shall be
refunded.
3. Other terms and conditions
This agreement shall come into force upon being signed and sealed by both
parties, and it is in two originals, each party holds one; the two have the same
legal effect.
This agreement is not completely matters concerned, both parties shall sign
supplementary agreement through negotiations, and the supplementary
agreement is the same legal effect.
